Contract Negotiation

Protecting your company’s interests while accelerating research timelines

Parker Contracts can redline and provide templates for many research related agreements such as:

      • Master Services Agreements
      • Clinical Research Services Agreements (projects with CROs)
      • Consulting Agreements/HCP Agreements
      • Phase I-IV clinical site agreements
      • Scale licensing
      • Site Management Agreements (if you are an SMO)
      • Memorandums of Understanding
      • Material Transfer Agreements
      • Pre-clinical and discovery agreements

Rates:

We offer very competitive rates because we want you to be able to use our services for all of your R&D contracts.  We can also keep our rates low by limiting our representation to transactional contract review and refrain from providing regulatory or compliance services.

Parker Contracts understands that finding new vendors can be tricky, especially legal counsel.  To gain your business we provide a four-month pilot rate of $225 per hour, billed in standard 6 minute intervals (more details are in our engagement letter). Templates are normally provided at a fixed rate for non-exclusive use.

One question we often hear is – Should I use my own template as a starting point for negotiations?

Generally, yes, if you have a solid template using it to start negotiations has many advantages.  However, we often find a major hurdle to quickly negotiating contracts is opposing counsel’s limited bandwidth to review your template, or power imbalances necessitating use of the other party’s agreement.

That too can be advantageous!

In those situations, we can provide quick and efficient redlines custom tailored to your specific needs and direction.  From a full out redline to express your every need to a lighter touch to keep things moving, we can assist with getting your project started. Most importantly Parker Contracts can detail potential risks involved when agreeing to non-standard terms so you can make informed business decisions.
